Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and TechCreations Labs ("Company," "we," "us," or "our") concerning your access to and use of our website and services.

By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access our services.

Services

TechCreations Labs provides web development, design, hosting, and digital transformation services. Our services include but are not limited to:

• Website design and development
• Website transformation and migration
• Custom web application development
• Website hosting and maintenance
• Performance optimization
• Technical consulting

Specific terms for each service will be outlined in a separate service agreement or statement of work.

User Responsibilities

When using our services, you agree to:

• Provide accurate and complete information
• Maintain the confidentiality of any account credentials
• Notify us immediately of any unauthorized use of your account
• Use our services only for lawful purposes
• Not interfere with or disrupt our services or servers
• Not attempt to gain unauthorized access to any systems or networks
• Comply with all applicable laws and regulations

Intellectual Property

Our Intellectual Property

The content on our website, including text, graphics, logos, images, and software, is the property of TechCreations Labs and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

Client Deliverables

Upon full payment for services, clients receive ownership rights to custom work created specifically for them, as outlined in the applicable service agreement. We may retain the right to display work in our portfolio unless otherwise agreed.

Third-Party Components

Our work may include third-party components, libraries, or frameworks that are subject to their own licensing terms. These components remain subject to their original licenses.

Payment Terms

Payment terms for our services are as follows:

• Payment schedules and amounts will be specified in individual service agreements
• All fees are quoted in CAD unless otherwise specified
• Invoices are due within 14 days of receipt unless otherwise agreed
• Late payments may incur interest charges as permitted by law
• We reserve the right to suspend services for overdue accounts

Hosting Services

For clients utilizing our hosting services:

• Uptime Guarantee: We guarantee 99.9% uptime for hosted websites, excluding scheduled maintenance
• Backups: Daily automated backups are performed and retained for 30 days
• Security: We implement industry-standard security measures including SSL certificates, firewalls, and regular security updates
• Support: Technical support is available during business hours for hosting-related issues
• Content: Clients are responsible for ensuring hosted content complies with all applicable laws

Limitation of Liability

To the maximum extent permitted by law:

• Our services are provided "as is" without warranties of any kind, either express or implied
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claims arising from our services shall not exceed the amount paid by you for the specific service giving rise to the claim
• We are not responsible for third-party services, including but not limited to hosting providers, payment processors, or API integrations

Indemnification

You agree to indemnify and hold harmless TechCreations Labs, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any rights of a third party
• Content you provide to us for use in our services

Termination

Either party may terminate a service agreement with written notice as specified in the applicable agreement. Upon termination:

• Client shall pay for all services rendered up to the termination date
• We will provide reasonable assistance in transitioning hosted content to another provider
• Confidentiality obligations shall survive termination
• We reserve the right to terminate services immediately for breach of these Terms

Dispute Resolution

Any disputes arising from these Terms or our services shall be resolved as follows:

• Parties shall first attempt to resolve disputes through good-faith negotiation
• If negotiation fails, disputes may be submitted to mediation
• These Terms shall be governed by the laws of the Province of Ontario, Canada
• Any legal proceedings shall be conducted in the courts of Ontario, Canada

Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after any changes constitutes acceptance of the modified Terms.

For active service agreements, we will provide reasonable notice of material changes that may affect your rights or obligations.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
